For individuals, Regulation D under the Securities Act of 1933, as amended (the "Act"), defines an "Accredited Investor" as:
The Investor is a natural person whose individual "net worth", or joint "net worth" with his or her spouse, at the time of the investment is in excess of $1,000,000. For purposes of this calculation, net worth is defined as the difference in value between all assets and all liabilities of such person (or such person and spouse), and includes homes owned by the Investor (but only to the extent that the actual value of the home exceeds the mortgage and other debt on the home (i.e.: equity value only).
The Investor is a natural person who had individual income in excess of $200,000 in each of the two most recent years, or joint income with his or her spouse in excess of $300,000 in each of those years, and has a reasonable expectation of reaching the same income level in the year in which the investment is made.
